§ 1 Scope of application
( 1) All orders and reasoned legal relations between the operator of the shop ( hereinafter defined as "Supplier ") and its Customers are subject to the following terms and conditions in the current version at the time of order. Typical order variants, such webshop orders , phone orders or email orders, therefore, fall under this definition.
( 2) Different Terms and Conditions are invalid, unless they are offered in writing by the Supplier and confirmed in a written order confirmation.
§ 2 Conclusion of Contract
( 1) The presentation of goods on the internet shop is not a binding offer by the Supplier. This is because the desired design of the Customer must be checked on its feasibility . The Customer will only be required to submit an order through an offer.
( 2) By sending the order via the internet shop, the Customer makes a binding offer to conclude a contract of sale of the goods contained in the shopping cart. By submitting the order, the customer accepts these Terms and Conditions as exclusively relevant for the legal relationship with the Supplier.
( 3) The Supplier shall acknowledge receipt of the Customer's order by sending a confirmation e-mail. This confirmation is not yet accepting the contract offer by the Supplier; it serves to inform the Customer that the order is received by the provider . The Supplier declares his acceptance of the offer by the positive message of feasibility, through the delivery of the goods or by any written express acceptance.
( 4) Prior to the payment of prepayment each customer of web -shop orders can withdraw free of charge. All it takes is a simple e -mail to the Supplier SUN -TEC Swiss United Technologies (email@example.com ) .
( 5) For jobs which were offered outside the web stores, free withdrawal by the Customer is possible before the development of the electrical design and before the purchase of materials.
§ 3 Property of the material
The delivered goods remain the property of the Supplier until full payment by the Customer.
§ 4 Due date for payment
Internet Shop orders are due upon receipt of the order confirmation unless the customer does withdraw via e -mail.
For all other type of orders the terms of payment mentioned in the quote or order confirmation will apply.
§ 5 Warranty
( 1) Suppliers products, such as LED films, SMD films or heating foils are semi-finished products. They are converted by Customers into final products. For this conversion, each Customer uses his own processes, process parameters and raw materials. Supplier may propose certain process parameters for further cross-checks. For example, the maximum temperature of 125 ° C during lamination with EVASAFE , Polyvinylbutyral or with Thermoplastic Polyurethane. But any of these proposed parameters must be validated by each Customer at his own facility. It is the sole responsibility of the Customer to find the appropriate processes, parameters and raw materials.
( 2) In general, Supplier gives no warranty for Customer processes. There may be exceptions: Extended Warranties are listed in written form in quotations and order confirmations.
( 3) If nothing else was quoted in written form by the Supplier, 2 years warranty prior to customer processing are defined. Thus, there is no guarantee after processing by the customer. Upon request of the customer, extended guarantee can be offered .
(4) The warranty rights are limited to the replacement of defective Products delivered by the Supplier.
( 5) If the Customer is not able to process the delivered semi-finished films without problem, the Supplier may at any time withdraw from the order and pay back the advance payment reduced by engineering and material procurement costs .
(6 ) These warranty rights are governed by Swiss Law, unless otherwise specified in the quotations and order confirmations. Claims for damages by the Customer against the supplier is the provision in § 6 of these Terms and Conditions .
( 7) The limitation period for warranty claims of customers is 1 year.
(8 ) Unless otherwise offered in written form by the Supplier, the Supplier will dispatch the goods according to Incoterm 2010 CPT (Carriage Paid To). The customer has to refuse the goods from the carrier, if it appears that the packaging seems pressed or touched or distroyed. If the Customer decides to accept the goods of an impaired parcel, he must submit a written notice to the carrier, so that a possible transport insurance can be availed.
§ 6 Disclaimer
(1) The products of the Supplier are converted by the Customer into final products. The Supplier accepts no liability and no responsability for any production process or End Product of the Customer.
(2) Test may be agreed between the Supplier and the Customer, which are used in the inspection of incoming goods to predict any other misconduct. Examples: Measurement of the light intensity at higher Voltage or measurement of the surface tension.
(3) Claims for other damages than the delivered products are excluded. This disclaimer applies to the legal representatives and agents of the Supplier as well.
§ 7 Choice of Law & Jurisdiction
(1) The contractual relationship between the Supplier and the Customer are governed under Swiss law.
(2) Place of jurisdiction for all disputes arising from the contractual relationship between the Customer and the Supplier is the seat of the Supplier, provided that the Customer is a merchant, a legal entity under public law or a public law special fund.
§ 8 Severability
If any element of these Terms and Conditions is invalid, the validity of the remaining elements shall not be affected thereby.
